Bpostgroup spends €1.3 billion to acquire 3PL specialist Staci

Belgian logistics group bpostgroup has signed a €1.3 billion deal to acquire Staci, a European specialist in third-party logistics (3PL) to become a major player in European parcel logistics and cross-border services.

The acquisition will see bpostgroup take full ownership of Staci from investment firm Ardian and other minority shareholders. This will allow bpostgroup to expand its portfolio and focus on better integrating its services, creating synergies across the group.

bpostgroup CEO Chris Peeters highlighted the strategic importance of the acquisition, stating it will facilitate synergies, enrich our portfolio, and harmonise with our existing capabilities. He added that the deal aligns with bpostgroup’s existing strategy to strengthen its B2B offering and transform its Belgian operations.

Staci’s expertise in e-commerce, omnichannel logistics, and fulfillment across Europe, Asia, and the United States is expected to complement bpostgroup’s existing subsidiaries Active Ants and Radial. This will broaden bpostgroup’s service offerings and customer base, which currently spans e-commerce, fast-moving consumer goods, retail, and various other sectors.

The acquisition is expected to deliver benefits in the short term through synergies, while also offering opportunities for future growth. Notably, bpostgroup plans to retain Staci’s management team and employees to leverage their expertise and experience. Staci CEO Thomas Mortier is expected to join bpostgroup’s executive committee and lead a newly formed 3PL business unit.

Staci reported 2023 normalised annual revenues of €771 million and EBITDA (pre-IFRS 16) of €110 million. bpostgroup will acquire Staci for an enterprise value of €1.3 billion (pre-IFRS 16). The transaction is subject to regulatory approvals and employee consultations and is expected to close in September/October 2024.
