The deal involves the purchase of 100% of DTK’s shares for a total consideration of DKK 620 million (approx. €83.1 million), subject to merger control approval. The transaction is expected to close before the end of the second quarter of 2025, with full integration anticipated by the first half of 2026.

Headquartered in Padborg, DTK operates eight sites: five in Denmark, and one each in Germany, Sweden, and the UK. The company offers road transport services, temperature-controlled freight solutions, and logistics services including warehousing and customs brokerage.

For the financial year 2024, DTK reported revenue of DKK 1,156 million (approx. €154.9 million) and earnings before interest and tax (EBIT) of DKK 94 million (approx. €12.6 million). Following the acquisition, DTK is expected to contribute approximately DKK 96 million (approx. €12.9 million) to NTG’s consolidated adjusted EBIT over a 12-month period. NTG expects to achieve annual synergies of around DKK 24 million (approx. €3.2 million) once integration is complete.

NTG will finance the acquisition through existing credit facilities.

As part of the integration, DTK’s general cargo and warehousing activities will be merged with NTG Road A/S, while its temperature-controlled transport division will continue to operate independently within the NTG group.

Jesper Petersen, CEO of Road & Logistics at NTG, said:

“The acquisition adds valuable capabilities to our network and supports NTG’s strategy of strengthening its position in the Nordic and European logistics markets.”

NTG is a global freight forwarding company offering transport solutions by road, rail, air, and sea. The group employs approximately 3,000 people across more than 20 countries.
