With this transaction, InPost strengthens its position as the third-largest independent logistics operator in the UK, behind Royal Mail and Evri (excluding Amazon – based on estimates supported by data from Effigy Consulting).

The acquisition will significantly accelerate InPost’s UK expansion. The Group estimates its annual parcel volume in the UK will grow to around 300 million, while its seller base will instantly expand to over 700 e-commerce shops, giving it an estimated 8% market share. In addition, InPost will introduce a unique next-day (D+1) delivery offering in the B2C segment.
This strategic acquisition will support InPost’s long-term growth in the UK, where the company already operates over 18,000 out-of-home (OOH) delivery points, including 10,000 parcel lockers.
Under the terms of the deal, InPost has acquired 95.5% of the share capital of Judge Logistics Ltd (JLL), the parent company of Yodel Delivery Network. PayPoint has retained a minority stake of 4.5%.
The transaction was completed through a debt-to-equity swap. InPost converted an existing loan into equity; prior to the acquisition, InPost had provided JLL with £106 million in financing via convertible bonds. This deal builds on the partnership launched in October 2024, when Yodel began offering home delivery services for parcels sent via InPost’s locker-to-door system.
The acquisition of Yodel follows InPost’s successful purchase of Menzies Distribution in October 2024, which gave the Group full control of its logistics operations in the UK.
In 2024, InPost Group reported record financial results. Revenue rose to PLN 10.9 billion (approx. EUR 2.55 billion), up 23.5% year-on-year, while adjusted EBITDA reached PLN 3.6 billion (approx. EUR 842 million), an increase of 33.5%. The company handled 1.1 billion parcels during the year – a 22% increase compared to 2023.
In the UK alone, InPost delivered 93.2 million parcels in 2024 – more than double the volume in 2023. The main growth drivers were the C2C and B2C returns sectors. Revenue in the UK rose to over PLN 1.2 billion (approx. EUR 281 million) during this period, a 164% year-on-year increase.
